Terms of Service

1. Introduction

These Terms and Conditions govern your use of the UMNIII platform provided by Umniii Digital Limited (“UMNIII”, “we”, “us”). By creating an account, browsing, or using any part of the site or apps, you agree to these Terms. If you do not agree, do not use UMNIII.

UMNIII is a peer-to-peer services marketplace that connects people who need work done (“Buyers”) with independent professionals (“Sellers”). UMNIII is not a party to contracts between Buyers and Sellers. We provide tools including listings, messaging, held-payment checkout, and support. “You” means any user of the platform.

2. Key Definitions

Buyer: a user who requests or purchases services.
Seller: a user who offers services.
Project: a scope of work agreed between a Buyer and a Seller.
Held Payment: funds paid by a Buyer and held by our payment provider until release conditions are met (this is a held-payment mechanism, not a regulated escrow).
Platform Fee: the fee payable to UMNIII for use of the platform.

You must be at least 18 and legally capable of entering a contract in the United Kingdom. If you access UMNIII from outside the UK, you are responsible for compliance with local laws.

3. Changes to These Terms

We may update these Terms to reflect changes in law, features, or business practices. When we make material changes we will post the updated Terms and update the effective date. Continued use of UMNIII after changes means you accept the updated Terms.

Effective date: 27 August 2025.

4. Accounts

You must create an account to post or accept projects. Provide accurate information and keep your details up to date. You are responsible for all activity under your account and for keeping your login credentials secure.

We may restrict, suspend, or close accounts that violate these Terms, our policies, or applicable law. You agree not to share your account or impersonate another person or business.

5. Identity and Business Verification

To improve trust and safety, we may ask for identity or business verification and other checks required by law or by our payment partners. Failure to complete verification may limit your ability to use certain features.

You consent to UMNIII using third parties to perform checks that are proportionate and lawful.

6. Ratings and Reviews

Buyers and Sellers may leave ratings and reviews. You agree to fair and truthful feedback. We may remove content that is unlawful, misleading, hateful, or violates privacy.

7. Payments

Payments are processed by our third-party payment provider. When a Buyer pays for a Project, funds are treated as a Held Payment until release. Held Payments are released to the Seller when both parties confirm completion or when the Project reaches a defined milestone. This is a held-payment mechanism, not a regulated escrow.

Sellers must have a supported payout method. Payout timing is subject to our provider’s schedules and compliance checks.

8. Fees

UMNIII may charge a Platform Fee which is disclosed at checkout. Buyers and Sellers may choose who pays the fee, including split payments where available. Taxes, including VAT, may apply based on your location and the nature of the services.

You are responsible for your own tax obligations. We may provide summaries to help you prepare for Making Tax Digital, but we do not give tax advice.

9. Chargebacks and Payment Issues

If a payment is reversed or disputed, we may place a hold on your balance while we investigate. We may offset amounts you owe against future payouts as permitted by law.

10. Cancelling a Project

A Buyer and Seller may mutually cancel a Project before work is completed. If no work has started, the Buyer may receive a full refund of the Held Payment minus any non-refundable fees. If partial work has been delivered, the parties should agree a fair split and notify support.

UMNIII may cancel Projects that violate our policies or law.

11. Refunds

Refund eligibility depends on the status of the Project and evidence of delivery. Where applicable, we will instruct our payment provider to return funds to the original payment method. Processing times vary by provider and bank.

Platform Fees may be non-refundable except where required by law.

12. Early Release

Buyers may choose to release funds early. Early releases are final.

13. Dispute Resolution

We encourage Buyers and Sellers to resolve issues through the in-app chat and by sharing evidence of work. If you cannot resolve a dispute, you may open a support case. We may review messages, attachments, milestones, and delivery evidence and propose a fair outcome. Our decision is made on a best-efforts basis and may require partial refunds or releases.

Using our dispute process does not affect your statutory rights. You can still pursue legal remedies in court.

14. Acceptable Use

You agree not to use UMNIII for unlawful activities, spam, harassment, misleading listings, or to circumvent fees. Do not post content that infringes intellectual property or privacy. We may remove content and take action on accounts that breach these rules.

15. Limitation of Liability

To the fullest extent permitted by law, UMNIII is not liable for indirect or consequential loss, loss of profits, or loss arising from contracts between Buyers and Sellers. Our total liability to you for any claim relating to the platform shall not exceed the total fees paid to UMNIII by you in the twelve months before the event giving rise to the claim.

16. Intellectual Property

The UMNIII name, branding, and platform content are owned by Umniii Digital Limited or our licensors. You may not copy or reuse them without permission. Work product created by Sellers belongs to the party specified in the Project agreement between Buyer and Seller.

17. Privacy

We handle personal data as described in our Privacy Policy. By using UMNIII you consent to that processing. Do not share sensitive personal information in messages unless necessary for the Project.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from or related to these Terms.
